Reuther Rieche advises Green FOX Energy on the acquisition of the Eyendorf solar project

The Eyendorf solar park in Lower Saxony will generate more than 15 million kilowatt hours per year with 25,000 photovoltaic modules covering an area of around 12 hectares. Construction has already begun and is scheduled for completion in late summer 2024.

Green FOX Energy is an independent project developer and power producer. The Hamburg-based company develops, acquires and operates plants across all project phases. The focus is on solar and wind energy as well as storage systems.

Reuther Rieche advises GrünWatt on the development of its energy concept

The start-up company from Itzehoe supplies solar power from photovoltaic systems that it installs on its customers’ roofs. GrünWatt also replaces outdated heating systems with state-of-the-art heat pumps. As an additional component of a decentralised energy concept, GrünWatt offers modern storage solutions.

Reuther Rieche advises Qualitas Energy on the acquisition of four wind projects

The projects are planned with a total capacity of 96 MW. One project is located in the Cologne region in North Rhine-Westphalia. The other projects are located in the Heidekreis and Uelzen regions in Lower Saxony. Qualitas Energy will continue the development and eventually construct and operate the projects. The generated electricity may power around 64,000 households.

Qualitas Energy is a fund manager focused on renewable energy, in particular the development and operation of wind turbines. In Germany, Qualitas Energy employs over 250 people working on expanding a total portfolio of 6 GW.

Jonathan Reuther, Tim Stahlberg, Janina Reuther and Louissa Greppi conducted the legal due diligence for Qualitas Energy and advised on the transaction.

Reuther Rieche advises Green Fox Energy on its investment in ON Energy, securing a 1.5 gigawatt project pipeline

The Hamburg-based investor Jörn Reinecke and his company Green Fox Energy have acquired a 50% share in the Dortmund-based photovoltaic project developer ON Energy.

With this transaction, Green Fox Energy secures a project development volume of 1.5 gigawatts in Germany. More than 150 megawatts of solar projects are expected to be connected to the grid by 2024.

Green FOX Energy is an independent developer, power producer and asset manager. The Hamburg-based company develops, acquires and operates plants in all project phases. Its focus is on solar and wind energy and energy storage facilities, predominantly in Germany and Spain.

ON Energy is a medium-sized project developer. Its business model focuses on the development of ready-to-build solar and wind projects.

Reuther Rieche advises Qualitas Energy on the acquisition of three wind farms in Saxony-Anhalt and Thuringia

The portfolio consists of the wind farms Dornstedt II, Quenstedt II and Heldrungen with a total capacity of 21 MW.

Dornstedt II is located in the municipality of Teutschenthal in the Saale district in Saxony-Anhalt. The wind farm comprises three turbines with a capacity of two MW each. Quenstedt II has the same capacity and is located in Arnstein, Mansfeld-Südharz district. The third wind farm is located only a few kilometres to the south in Heldrungen in the Kyffhäuserkreis district of Thuringia. It consists of five wind turbines with a capacity of 1.8 MW each.

As a next step, Qualitas Energy will repower the turbines to increase the wind farms’ output significantly.

Reuther Rieche advises a foundation for war victims

The WALfare Foundation supports victims of war and displacement with an endowment capital of 1.5 million euros and donations totalling five hundred thousand euros to date. The foundation was set up by the shareholders of WALGmbH & Co. KG shareholders. It supports refugees in need, as well as organisations such as the paramedics from Brandenburg, who are trying to alleviate the hardship on the ground.

Reuther Rieche advised the foundation on all steps necessary for its establishment, in particular on the foundation statutes and state recognition. The legal support by Michael Reuther and Jonathan Reuther was provided pro bono.

Reuther Rieche advises Qualitas Energy on the acquisition of a majority stake in the community wind park Apensen

The wind park Apensen was founded in 2000 and currently operates 21 wind turbines with a total capacity of 37 MW.

Qualitas Energy made an offer to the approximately 600 shareholders which was accepted by more than 85% of the share capital. With the participation of the remaining shareholders, Qualitas Energy will now plan to repower the wind park, thereby significantly increasing its output.

When acquiring community wind parks, a variety of interest groups have to be reconciled. Reuther Rieche advised on all phases of the project, including the due diligence, amendments to the articles of association and the purchase agreements.

Luxcara invests in up to 2,600 electric vehicle charging points in cooperation with Wirelane

Reuther Rieche advised Luxcara, a leading asset manager for renewable energy, on the transaction with Wirelane, a full-service provider of charging infrastructure.

As part of the project, public charging points will be installed primarily at hotel car parks throughout Germany. The charging points have been designed and manufactured in Germany and will be operated and maintained by Wirelane. The collaboration between Luxcara and Wirelane aims to further decarbonise the transport sector.

Luxcara provides international investors with investment opportunities in the global renewable energy market. Luxcara’s portfolio includes sustainable infrastructure across Europe with a total capacity of more than 5 GW and an investment volume of EUR 5 billion.

Qualitas Energy develops 250 MW wind farm portfolio with local partner

Reuther Rieche advised Qualitas Energy Deutschland GmbH on the due diligence and contract negotiations.

The 12 wind projects in Baden-Württemberg are in various stages of planning, three are already in the approval process. All projects are expected to be operational between 2023 and 2027.

Qualitas Energy is one of Europe’s leading investors in renewable energy. In Germany, the company operates more than 35 wind farms with a total capacity of more than 350 MW.

Seed financing for AI battery diagnostics and management

Reuther Rieche has supported the Kiel-based start-up Heimdalytics GmbH in its first round of financing. The company develops battery diagnostics and battery management systems combining spectrometry with artificial intelligence (AI). Spectrometry is similar to exciting a tuning fork and measuring its response. By analysing the spectrometry response utilising AI, it is possible to determine a battery’s state of health and state of charge more precisely, hence improving safety and performance.

The founders and managing directors of the start-up are Prof Dr Christoph Weber from Kiel and Clemens van Zeyl, MBA P.Eng. from Canada.

Reuther Rieche advises the Recycling Fabrik GmbH on its financing round for 3D print recycling

The Recycling Fabrik GmbH based in Braunschweig is active in the circular economy, especially in connection with 3D printing. 3D printing produces misprints and, in the course of designing a product, numerous prototypes. The raw material of the print, filament, can be recycled so that waste can be reduced.

The Recycling Fabrik GmbH has rented factory buildings and bought additional machinery. In return for shares in the company, private investors with expertise in the circular economy have contributed the necessary capital.

Jonathan Reuther has advised the Recycling Fabrik on the financing, in particular on the shareholder agreements.

Reuther Rieche advises investors on the sale of 450 apartments in Hamburg

Reuther Rieche has assisted a private investor group in the sale of 450 apartments. The buyer is an international real estate company that owns and manages several thousands apartments.

Reuther Rieche’s support covered all stages of the transaction, from the request for proposal to the execution of the contract after notarisation. The residential complex is located south of the Elbe in Hamburg. The apartments had been renovated to make them more energy-efficient, which required the involvement of the financing banks that had financed the renovation. The contract was negotiated and executed at the recent peak of the real estate price development.

Reuther Rieche advises Q-Energy on a portfolio of ten wind farms in Rhineland-Palatinate

Together with EEG Eifel, a wind farm developer with more than 20 years of experience and based in Ferschweiler, Q-Energy will develop up to 49 new wind turbines with a potential of 316 megawatts in total.

The wind farms are at different stages of planning. One project is already in the approval process, for other projects the applications are to be submitted this year. 

The Q-Energy Group offers investment and asset management services and manages projects with more than 1.6 gigawatts of renewable energy.

Reuther Rieche advises Luxcara on power purchase agreements with Meta

Luxcara has signed three long-term power purchase agreements with Meta, formerly known as Facebook, for three Danish solar projects with an expected installed capacity of in total over 300 MWp.

Two of the projects are located in the region of Zealand and one in Jutland. The projects will support Meta’s operations in Europe, including its data centre in Odense, Denmark.

Luxcara is a leading asset manager for renewable energy, managing a portfolio of power plants with a total capacity of 4 GW.

Tobias is a specialist in offshore and onshore wind as well as solar, with detailed expertise in regulatory issues and many years of experience in project development.

Since 2006 he has been supporting companies on major national and international projects. He focuses on structuring transactions, negotiating project contracts and advising on environmental matters. Before joining Reuther Rieche, he worked in an international law firm and for the RWE group.

Reuther Rieche advises Luxcara on power purchase agreement with RWE

Luxcara has concluded one of the largest German supply contracts for renewable energy with RWE Supply & Trading.

The 10-year power purchase agreement has an annual volume of up to 170 gigawatt hours. The energy will be generated by Luxcara’s solar park in Mecklenburg, which will be constructed and operated without state funding. RWE Supply & Trading will supply the energy to Volkswagen.

Reuther Rieche advises Q-Energy on several repowering projects in Northern Germany

Q-Energy Germany has acquired several wind farms in Northern Germany with a total volume of 26.75 MW from local and Danish sellers. The wind turbines were put into operation in 2001-2006. Q-Energy Deutschland will continue operating the turbines and then replace them by more powerful systems of the latest generation.

Q-Energy Germany is an investment and asset management company that specialises in repowering and greenfield projects. The company has acquired projects with a total volume of nearly 200 MW (more than 80 wind turbines) in Germany since 2018.
