Reuther Rieche advised the Averdung Group on the sale of its shares in BBD BigBattery Deutschland GmbH to its joint venture partner terralayr.
BBD BigBattery Deutschland GmbH was founded in 2023 as a joint venture between terralayr and Averdung. The company’s goal is to develop stand-alone large-scale battery storage projects in Germany. Over the past two years, BBD has built up a project pipeline of over one gigawatt. BBD works along the entire value chain, from project development to planning and implementation to the operation of large-scale storage facilities.
With the sale of its shares, terralayr becomes the controlling shareholder of BBD. The Averdung Group is focusing on its role as an independent energy transition service provider and will continue to be active in the planning and implementation of large-scale battery storage projects.
Reuther Rieche advised the Averdung Group comprehensively on the formation of the joint venture and the shareholder agreements throughout the entire investment phase, as well as on all aspects of the transaction in the context of the exit.
